Chaos Audio Affiliate Artist Program Agreement

Version 1.0. Effective August 20, 2026.

This Agreement is a binding contract between you ("Artist," "you") and Chaos Audio LLC, a Florida limited liability company ("Chaos Audio," "we," "us"). It governs your participation in the Chaos Audio Affiliate Artist Program (the "Program"), through which you promote Chaos Audio products and earn commission on qualifying sales. The Program is administered through Shopify Collabs. You accept this Agreement when you join the Program.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into this Agreement. If you accept on behalf of a company, you represent that you have authority to bind it, and "Artist" means that entity. You must not be located in a jurisdiction subject to comprehensive U.S. sanctions and must not appear on any U.S. government restricted-party list. We may decline or remove any applicant at our discretion.

Chaos Audio employees, contractors, and members of their immediate households are not eligible to earn commission through the Program.

2. What the Program Is

We grant you a non-exclusive, revocable, non-transferable right to promote Chaos Audio products using the affiliate links, discount codes, and brand assets we make available through Shopify Collabs, for as long as this Agreement is in effect. You are an independent contractor. Nothing here creates employment, agency, partnership, or joint venture, and you may not hold yourself out as an employee or representative of Chaos Audio, speak on our behalf, enter into commitments in our name, or respond to press or customer service inquiries as though you were us.

3. Commission

3.1 Rate and how it is set

Your commission rate is the rate shown for your account in Shopify Collabs. Rates may differ between artists, between products, and between campaigns.

3.2 Our right to change the rate

We may change commission rates, attribution windows, eligible products, minimum payout thresholds, and any other Program term at any time and at our discretion. Where a change reduces your commission rate or narrows what qualifies for commission, we will give you at least 14 days’ notice through Shopify Collabs or by email to your account address before it takes effect.

All changes apply prospectively only. A change does not affect commission already earned on qualifying sales completed before the change takes effect. If you do not accept a change, your remedy is to leave the Program under Section 8, and you will be paid commission earned through your departure date under Section 4.

3.3 Qualifying sales

Commission is earned on a qualifying sale, which means a purchase of an eligible Chaos Audio product completed on chaosaudio.com, attributed to you by Shopify Collabs within the applicable attribution window, and paid for in full. Commission is calculated on the product price actually paid, excluding shipping, handling, duties, and taxes, and after any discount applied at checkout.

3.4 What does not earn commission

• orders that are cancelled, returned, refunded, or charged back;
• orders you place yourself, or that are placed by members of your household, or that are placed for the purpose of generating commission on your own purchase;
• orders paid for with store credit, gift cards, or promotional credit, to the extent of that credit;
• orders attributed through fraudulent, deceptive, or automated means, including cookie stuffing, forced clicks, and traffic that is not genuinely referred by you;
• orders for products we designate as ineligible, including gift cards;

marketplace purchases of third-party developer content, unless we state otherwise; and

• orders that we reasonably determine were obtained in breach of this Agreement.

3.5 Clawback

If a sale on which commission was paid is later cancelled, returned, refunded, or charged back, or if we determine it did not qualify, we may deduct the corresponding commission from your next payment or, where no further payment is due, require repayment. We may also withhold payment while we investigate suspected fraud or a material breach, and will release any amount not reasonably connected to the issue.

4. Payment

Commission is paid through Shopify Collabs according to its payment schedule and any minimum payout threshold in effect, after the applicable return window has passed. You are responsible for providing accurate payment and tax information through Shopify Collabs, including a Form W-9 or W-8BEN where required. You are responsible for all income, self-employment, and other taxes on your earnings. We may withhold or report amounts where required by law.

Your relationship with Shopify Collabs is governed by your agreement with Shopify. We are not responsible for delays, errors, or failures in that platform, though we will make reasonable efforts to help resolve them.

5. Disclosure — Your Most Important Obligation

Federal law treats your commission arrangement as a material connection between you and Chaos Audio that consumers must be told about. Under the FTC Endorsement Guides, disclosure is required, and as the advertiser we are responsible for whether our affiliates disclose properly. This Section is not a formality and we enforce it.

5.1 What you must do

Disclose your connection to Chaos Audio clearly and conspicuously in every post, video, story, stream, email, or other communication in which you promote our products or use an affiliate link or code.

Put the disclosure in the content itself, where people will see it without having to click, expand, scroll, or look for it. Place it before the affiliate link or code, not after.

Use plain language. "Paid partnership with Chaos Audio," "I earn a commission on purchases through this link," or "#ad" placed at the start of a caption all work. "#sp," "#collab," "thanks Chaos Audio," and an ambiguous tag buried among other hashtags do not.

In video, say it out loud as well as showing it on screen, and do so near the start rather than at the end.

In a livestream, repeat it periodically, since viewers join partway through.

If you received free or discounted product, disclose that too, whether or not a sale results.

5.2 Platform tools are not enough on their own

Built-in tools such as a "paid partnership" label or a platform’s branded content toggle are helpful, but on their own they do not satisfy your obligation. Use them in addition to a disclosure in the content, not instead of one.

5.3 Reviews and testimonials

If you post a review, rating, or testimonial about a Chaos Audio product anywhere, including retail sites and forums, you must disclose your connection to us in that review. Say what you actually think. We do not ask for, pay for, or reward a particular rating, score, or sentiment, and you must not represent yourself as an ordinary customer with no connection to us.

6. Rules for Your Promotional Content

6.1 Claims you must not make

• any health, medical, hearing, or safety claim about our products;
• performance or specification claims that we have not published or confirmed in writing, including claims about latency, processing power, battery life, or component sourcing;
• false or unsubstantiated comparisons to competitors’ products, or claims that disparage a competitor in a way that is untrue or misleading;
• false scarcity or urgency, including invented deadlines, stock levels, or price increases;
• claims about pricing, discounts, availability, shipping times, or warranty coverage that do not match what we have published;
• any statement that you are speaking for Chaos Audio or that your content is an official Chaos Audio communication; and

endorsements of products you have not actually used.

6.2 Conduct and channels

• Do not bid on "Chaos Audio," "Stratus," "Nimbus," "Tone Shop," or confusingly similar terms in paid search, and do not use them in display URLs, ad copy headlines that imply you are us, or as keywords in a way that competes with our own advertising.
• Do not register or use domain names, social handles, or app names containing our trademarks or confusingly similar variations.
• Do not send unsolicited bulk email or messages, or promote through spam, malware, adware, browser extensions that inject links, or toolbars.
• Do not post affiliate links or codes to coupon aggregators, deal sites, or cashback sites without our prior written approval.
• Do not promote our products alongside content that is unlawful, hateful, harassing, sexually explicit, or that targets children.
• Do not modify our affiliate links or codes, obscure their destination, or use link cloaking to disguise that a link is an affiliate link.

Comply with the terms of every platform you post on, and with all applicable laws, including advertising, consumer protection, and disclosure laws in your country.

7. Brand Assets and Content

7.1 Our assets

We grant you a limited, non-exclusive, revocable, non-transferable license to use the Chaos Audio names, logos, product images, and other brand assets we provide through Shopify Collabs, solely to promote our products under this Agreement and in accordance with any brand guidelines we publish. Do not alter, recolor, distort, or combine our logos with other marks, and do not use our assets in a way that suggests we produced, endorsed, or approved your content beyond the affiliate relationship disclosed under Section 5. All goodwill from your use runs to us. This license ends when this Agreement ends.

7.2 Your content

You own the content you create. You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to reproduce, distribute, publicly display and perform, and adapt for formatting your Program content, and to use your name, artist name, likeness, and social handles, for the purpose of promoting Chaos Audio and the Program across our marketing channels. If you ask us in writing to stop using a specific piece of content or your likeness, we will stop using it in new placements within 30 days and will make reasonable efforts to remove it from channels we control, though we cannot recall material already distributed.

7.3 Rights in your content

You are responsible for clearing all rights in your content, including music, samples, footage, and the appearance of any other person. Do not use recordings, compositions, or footage you do not have the right to use, including in background audio.

8. Term and Termination

This Agreement begins when you join the Program and continues until terminated. Either of us may terminate at any time, for any reason, with or without notice. You may leave by notifying us at support@chaosaudio.com or through Shopify Collabs.

On termination you must stop using our affiliate links, codes, and brand assets, and you should update or remove existing content that contains active affiliate links. Commission earned on qualifying sales completed before termination is paid under Section 4, subject to Section 3.5 and Section 8.1.

8.1 Forfeiture for violations

If we terminate your participation because you materially breached this Agreement — in particular the disclosure obligations in Section 5, the claim restrictions in Section 6.1, or the conduct rules in Section 6.2 — we may withhold unpaid commission attributable to the affected activity, and may recover commission already paid on it. We will tell you what we are withholding and why, and we will not withhold commission unrelated to the breach.

9. Monitoring and Compliance

We may review your promotional content at any time to confirm it complies with this Agreement. We may ask you to correct, add, or reposition a disclosure, to amend or remove a claim, or to take down content, and you agree to act on a request within 3 business days or to tell us why you cannot. We may report non-compliant content to the platform it appears on. We may also require you to complete brief training on disclosure requirements as a condition of continued participation.

We are not obligated to monitor, and our failure to object to content does not mean we approved it or waives any right.

10. Confidentiality

We may share non-public information with you, including unreleased product details, pricing, campaign plans, and Program performance data. Keep it confidential, use it only for the Program, and do not disclose it until we have made it public. This obligation continues for two years after this Agreement ends. It does not apply to information that becomes public through no fault of yours, that you already had, or that you are legally required to disclose, provided you tell us first where you are permitted to.

11. Privacy

Our handling of your personal information is described in the Chaos Audio Privacy Policy at chaosaudio.com/pages/privacy-policy. You must comply with applicable privacy and anti-spam laws in your own promotional activity, including obtaining any consent required before sending email or text messages, and you must not collect personal information from your audience on our behalf.

12. Disclaimers and Limitation of Liability

THE PROGRAM IS PROVIDED "AS IS." WE DO NOT GUARANTEE ANY LEVEL OF SALES, COMMISSION, TRAFFIC, OR EXPOSURE, AND WE DO NOT WARRANT THAT SHOPIFY COLLABS, AFFILIATE LINKS, OR TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY UNDER OR RELATING TO THIS AGREEMENT IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE TOTAL COMMISSION PAID OR PAYABLE TO YOU IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. Nothing here limits liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited under applicable law.

13. Indemnification

You will defend, indemnify, and hold harmless Chaos Audio and its members, officers, employees, and agents from any third-party claim, and resulting damages, judgments, settlements, and reasonable attorneys’ fees, arising from your promotional content, your breach of this Agreement, your failure to make required disclosures, or your violation of law or third-party rights. We control the defense and settlement of any indemnified claim; you may participate at your own expense and may not settle a claim imposing obligations on us without our written consent.

14. Changes to This Agreement

We may update this Agreement. For material changes we will give you at least 14 days’ notice by email to your account address or through Shopify Collabs. Your continued participation after the effective date means you accept the updated Agreement. Changes to commission terms are governed by Section 3.2.

15. Governing Law and Disputes

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The state and federal courts located in Bay County, Florida have exclusive jurisdiction over any dispute arising out of this Agreement, and you consent to personal jurisdiction and venue there. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION.

16. General

This Agreement, together with the Chaos Audio Terms and Conditions and Privacy Policy, is the entire agreement between us regarding the Program and supersedes prior discussions about it. You may not assign it without our written consent; we may assign it to an affiliate or successor. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. No waiver is implied by our inaction. Notices to you go to your account email; notices to us go to support@chaosaudio.com. Sections 3.5, 5.3, 7.2, 8.1, 10, 12, 13, 15, and 16 survive termination.
